Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and ACHIEVEMOR LLC, doing business as AI MANAGED SOLUTIONS ("AIMS", "we", "us", or "our"). They govern your access to and use of our websites and applications, including Spinner (a realtime AI conversation app for translating, decoding, explaining, summarizing, researching, and ideating, together with the Common Cup meeting companion) and the Coastal Brewing storefront, including voluntary donations (together, the "Services").
Please read these Terms carefully. By accessing or using the Services, you agree to be bound by them.
1.Acceptance of these Terms
By creating an account, signing in, accessing, browsing, or otherwise using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Services.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
2.Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction if greater, and capable of forming a legally binding contract to use the Services. The Services are not directed to children under 13, and we do not knowingly collect personal information from children under 13.
3.Description of the Services
The Services let you interact with realtime AI features — including translating, decoding, explaining, summarizing, researching, and ideating — and use related tools such as the Common Cup meeting companion. The Coastal Brewing storefront lets you browse products and make purchases or voluntary donations.
The Services are experimental and provided on an "AS IS" and "AS AVAILABLE" basis. Features may change, be added, or be removed at any time. The Services are not a private or secure channel: you should not submit secrets, passwords, financial account credentials, health information, or other sensitive personal data through them.
4.Acceptable use
You agree not to misuse the Services. In particular, you will not:
- use the Services for any illegal, harmful, fraudulent, infringing, or abusive purpose, or to harass, threaten, or harm others;
- use the Services as a private or secure channel for secrets or sensitive personal data;
- reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Services, except to the extent this restriction is prohibited by applicable law;
- scrape, crawl, harvest, or systematically extract data from the Services;
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the Services, our systems, or our networks, including by circumventing usage limits, rate limits, or other technical or security measures;
- introduce malware or any other malicious or harmful code; or
- use the Services to develop a competing product, or in any way that violates these Terms or the terms of the third-party services we rely on.
We may suspend or limit access to protect the Services, our users, or third parties.
5.AI output is not advice
Some features generate output using third-party AI model providers. AI-generated output may be inaccurate, incomplete, outdated, or misleading, and it is provided for general informational purposes only. It is not professional, legal, medical, or financial advice. You are responsible for reviewing and independently verifying any output before relying on it or acting on it. Do not rely on the Services for decisions that require professional judgment.
6.Payments and donations
Payments and donations are processed by our payment processor, Stripe. By making a payment or donation, you also agree to Stripe's applicable terms. We do not store your full card number.
6.1 Donations
Donations are voluntary and, except where required by law, are generally non-refundable.
6.2 Subscriptions and other charges
Any subscriptions or paid features are billed according to the terms stated at the point of purchase, including any recurring billing intervals, until cancelled in accordance with those terms.
6.3 Taxes
You are responsible for any applicable taxes, duties, or similar charges associated with your payments, other than taxes based on our net income.
7.Intellectual property and your content
We own, or are licensed to use, the Services, including the apps, software, designs, text, and our names, logos, and marks. Except for the rights expressly granted in these Terms, we reserve all rights in the Services. You may not use our marks without our prior written permission.
You retain ownership of the content you submit to the Services ("your content"). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and display your content solely to provide the Services to you — for example, to route your input to third-party AI model providers to produce a response. You are responsible for your content and represent that you have the rights necessary to submit it and grant this license.
7.1 Content you create and publish elsewhere
Some features help you draft, organize, or improve content — such as reviews, complaints, posts, or messages — that you may choose to publish to third-party platforms or send to third parties. Any such content is your content, and you are solely responsible for it. You represent that statements of fact in it are truthful and accurate, and you agree not to use the Services to create or publish content that is false, defamatory, harassing, or that violates the rights of others or any applicable law. We do not verify, endorse, adopt, or take responsibility for content you publish, and helping you prepare it is not legal advice or an assessment of its accuracy or legality. When you publish to or interact with a third-party platform, you are also responsible for complying with that platform's terms.
8.Third-party services
The Services rely on third parties, including Stripe (our payment processor) and third-party AI model providers that process your inputs to deliver the Services. Those third parties operate under their own terms and policies, and we are not responsible for their products, services, or acts and omissions. Your use of those third-party offerings is at your own risk and subject to their terms.
9.Disclaimers
The Services are experimental and provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, secure, error-free, or that any output will be accurate or reliable. No method of transmission or storage is 100% secure.
10.Limitation of liability
To the fullest extent permitted by law, in no event will AIMS or its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
11.Indemnification
You agree to defend, indemnify, and hold harmless AIMS and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Services, or your violation of these Terms or of any law or the rights of a third party.
12.Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13.Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Effective date" above. Material changes will take effect when posted, and your continued use of the Services after that date means you accept the updated Terms. If you do not agree to the changes, stop using the Services.
14.Governing law
These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. You agree that the courts located in the State of Georgia will have jurisdiction over any dispute arising out of or relating to these Terms or the Services, to the extent permitted by applicable law.
